Distributor Terms & Conditions

These Distributor Terms & Conditions (“Distributor Terms”) govern the relationship between Medgidas, UAB (“Pomi-T”, “we”, “us”, “our”), company registration number 303976411, VAT number LT100009278819, registered at Polocko g. 17-212, Vilnius, LT-01204, Lithuania, and any approved distributor (“Distributor”, “you”, “your”).
By submitting a distributor application and/or placing wholesale orders, you agree to be bound by these Distributor Terms.
1. Distributor Account
1.1 Application & Approval
All distributor applications are subject to review and approval at our sole discretion. We reserve the right to decline any application without providing a reason.
You must provide accurate and complete information in your application. Any false or misleading information may result in immediate termination of your distributor account.
1.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any third party. You are liable for all activity that occurs under your account.
2. Authorised Sales Channels
2.1 Exclusive Sales Commitment
You may sell Pomi-T® products only through the website(s), platform(s), and/or physical locations that you declared in your distributor application.
Any sale through channels not declared and approved in advance constitutes a material breach of these Distributor Terms.
2.2 Online Marketplaces
You must not list, offer for sale, or sell Pomi-T® products on Amazon, eBay, or any other third-party online marketplace without obtaining prior written consent from Pomi-T.
2.3 Changes to Sales Channels
If you wish to add or change your authorised sales channels, you must notify us in writing at info@pomi-t.com and receive written approval before commencing sales through any new channel.
3. Pricing & Orders
3.1 Wholesale Pricing
Wholesale pricing is confidential and intended solely for approved distributors. You must not disclose wholesale prices to any third party, including on any public-facing website or listing.
3.2 Minimum Order Quantity
The minimum order quantity is 1 case (48 units). Volume-based tiered pricing applies as displayed in your distributor dashboard.
3.3 Payment
All orders must be paid in full at the time of purchase. Prices are exclusive of any applicable customs duties, import taxes, or other charges that may be imposed by local authorities in the destination country.
3.4 Price Changes
We reserve the right to modify wholesale pricing at any time. Any price changes will be communicated to distributors via email. Existing confirmed orders will not be affected by subsequent price changes.
4. Shipping & Delivery
4.1 Shipping Terms
All orders are shipped via FedEx on DAP (Delivered At Place) terms (Incoterms® 2020). This means that we bear the cost and risk of shipping until the goods arrive at the agreed delivery address. Upon arrival, all risk transfers to you.
4.2 Customs & Import Duties
Orders shipped to countries outside the European Union may be subject to local customs duties, import taxes, and clearance fees. These are the sole responsibility of the Distributor (the importer of record) and are not included in our wholesale prices.
4.3 Delivery Times
Estimated delivery times are provided for guidance only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs, force majeure, or other events beyond our reasonable control.
5. Product Handling & Shelf Life
5.1 Storage
You must store Pomi-T® products in accordance with the storage instructions on the packaging (cool, dry place, away from direct sunlight).
5.2 Shelf Life
All products shipped will have a minimum of 24 months remaining shelf life at the time of dispatch. You must not sell any products past their expiry date.
5.3 Product Integrity
You must not alter, repackage, relabel, or tamper with Pomi-T® products in any way. Products must be sold in their original, sealed packaging.
6. Brand & Marketing
6.1 Brand Representation
You must represent the Pomi-T® brand accurately and professionally. You must not make any health claims, medical claims, or therapeutic claims about Pomi-T® products beyond those that are approved and published on our official website.
6.2 Marketing Materials
Any marketing, advertising, or promotional materials that reference Pomi-T® must be approved by us in advance. You may use product images and descriptions from our official website for the purpose of resale.
6.3 Intellectual Property
The Pomi-T® name, logo, trademarks, and all associated intellectual property remain the exclusive property of Pomi-T / Medgidas, UAB. Your distributor status does not grant you any ownership rights to our intellectual property.
7. Resale Pricing
You are free to set your own retail prices for Pomi-T® products. We may provide recommended retail prices (RRP) for guidance, but these are non-binding recommendations only. Nothing in these Distributor Terms constitutes resale price maintenance.
8. Returns & Defective Products
8.1 Defective or Damaged Goods
If you receive products that are damaged during shipping or are defective, you must notify us within 7 days of receipt with photographic evidence. We will arrange replacement or refund at our discretion.
8.2 No Returns for Change of Mind
Due to the nature of food supplement products, we do not accept returns for change of mind, overstocking, or other non-defect reasons unless required by applicable law.
9. Termination
9.1 Termination by Either Party
Either party may terminate the distributor relationship by providing 30 days’ written notice via email.
9.2 Immediate Termination
We may terminate your distributor account immediately and without notice if you:
- breach any of these Distributor Terms, in particular the Authorised Sales Channels provisions (Section 2);
- engage in conduct that damages or may damage the reputation of the Pomi-T® brand;
- provide false or misleading information;
- become insolvent or cease trading.
9.3 Effect of Termination
Upon termination, you must immediately cease using the Pomi-T® name, logo, and trademarks. You may sell any remaining stock already in your possession through your previously authorised channels, provided you do so within 90 days of termination and in compliance with these Distributor Terms.
10. Limitation of Liability
To the maximum extent permitted by law, Pomi-T’s total liability to you in connection with these Distributor Terms shall not exceed the total amount paid by you for orders in the 12 months preceding the claim.
We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of business, or loss of goodwill.
11. Confidentiality
You agree to keep confidential all wholesale pricing, business terms, and any other non-public information disclosed to you as part of the distributor relationship. This obligation survives termination of your distributor account.
12. General
12.1 Governing Law
These Distributor Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
12.2 Amendments
We reserve the right to amend these Distributor Terms at any time. Updated terms will be published on this page. Continued use of your distributor account after changes are posted constitutes acceptance of the updated terms.
12.3 Entire Agreement
These Distributor Terms, together with the information provided in your approved distributor application, constitute the entire agreement between you and Pomi-T regarding your distributor relationship.
